As a ‘lead’ for our equity-based arrangements you will work closely with partners/client service teams to discover and pursue these types of arrangements. You will also involve other functional leaders who have a role in shaping/approving including professionals in our Legal, Risk, Tax, and Accounting functions along with the firm’s governing body for equity-based arrangements (a group of senior partners).

S7Clear’s Equity Investments & Arrangements team is a team of commercially minded professionals who help to structure and negotiate non-standard arrangements including performance-based and equity-based arrangements. This role fits into the client facing side of our team’s mandate. We are growing in all areas of non-standard arrangements and therefore need new team members to help manage our growing equity and alternative fee related pipeline.

DUTIES

Your primary responsibility will be to drive the commercial diligence, structuring, negotiation, and execution of the Firm’s largest and most complex arrangements. They could be as small as $2M or as large as $100M+.

You will start by helping Partners/client service teams review opportunities for suitability. In many cases the preferred model will turn out to be something more traditional (fixed fees paid in cash) or something performance based (with a portion of our fees linked to deliverables or outcomes/impact). If the situation meets our minimum equity guardrails then you will direct through our Legal and Risk steps along with advising the Partners on how to achieve appropriate syndication/approval. Along the way you will be the client’s #1 contact with the Firm with respect to the equity negotiation. Once agreement is met you will then help to facilitate receipt and valuation of equity and transfer to our portfolio manager.

You will also drive more traditional commercial negotiations such as multi-year rate cards, performance arrangements and the occasional work-out/settlement.

QUALIFICATIONS

  • BA/undergraduate degree; MBA, Law degree or other advanced degree preferred
  • 10+ years of experience structuring and negotiating complex commercial arrangements, preferably in private equity, venture capital and/or Corporate M&A along with proven execution capabilities. 
  • Ability to lead investments from identification to execution and then from value creation to exits. Experience in minority stake investments is preferred
  • Exceptional drive and confidence
  • Strong financial and analytical skills
  • Expertise in structuring and negotiating mergers and acquisitions, including business case financial modelling and due diligence across all relevant disciplines (e.g., financial, HR, legal, tax, operations, etc.
  • Talented relationship builder. Ability to gain the respect of senior leadership as this role requires front facing execution with senior partners and C-suite clients
  • Strong interpersonal and communication skills including the ability to lead cross-functional teams, work with and from time-to-time advise senior firm leaders, and help build consensus
  • Ability to spot issues/risks and understand how these impact commercial outcomes
  • Excellent project management and problem solving skills
  • Strong sense of entrepreneurship and ownership mindset, with a client service orientation
